Terms of Service Terms, Conditions & Platform Use

1. AGREEMENT TO TERMS

These Terms of Service constitute a legally binding agreement between you ("Client") and Way Over Media Corporation, the operator of QRaway Digital Spaces ("Company," "we," "us," or "our"), concerning your access to and use of the services.

By initiating a membership, you agree that you have read, understood, and agreed to be bound by all of these Terms of Service.

2. SERVICE SCOPE & DEFINITIONS

QRaway provides Managed Digital Infrastructure.

• The Asset: Refers to the Progressive Web App (PWA) or Website built by us.
• Concierge Service: Refers to technical maintenance, hosting, security, and reactive updates (text/image swaps) performed by our team.
• Exclusions: Unless explicitly purchased as an add-on (WMM), our service does not include content creation, video editing, social media management, or copywriting. We build the engine; you provide the fuel.

3. PAYMENT & RENEWAL

• Annual Membership: Services are billed on an annual basis to ensure continuous hosting and support.
• Third-Party Processing: All payments are processed via PayPal. We do not store your credit card information directly.

4. REFUND POLICY & COMMITMENT TO EXCELLENCE

Due to the custom, labor-intensive nature of our "Done-For-You" setup process, we do not offer monetary refunds once production has commenced.

Instead, we offer a Commitment to Excellence: During the initial concept phase, we provide unlimited revisions until the design meets your approval. Once the asset is launched live, the service is considered delivered.

5. INTELLECTUAL PROPERTY

• Client Ownership: You retain full ownership of your personal data, headshots, bio, and listing content provided to us.
• Company Ownership: QRaway retains ownership of the underlying code, design framework, CSS styling, and the "QRaway" platform architecture. You are granted a license to use this infrastructure so long as your membership is active.

6. THIRD-PARTY DEPENDENCIES

We integrate with third-party services (e.g., PayPal, Mailgun). We are not responsible for downtimes, policy changes, or account bans enacted by these third-party platforms. We act as an integrator, not a guarantor of their services.

7. ACCEPTABLE USE OF EMAIL SERVICES

Where available, the email functionality within QRaway Digital Spaces may be used by clients for transactional communications and consent-based marketing communications, including newsletters and similar subscriber communications.

Clients must use the email functionality only in a lawful and responsible manner. In particular, clients must ensure that marketing emails are sent only to recipients who have provided the necessary consent or permission required under applicable law.

Clients are responsible for the content, legality, and recipient permissions associated with emails sent through the services.

Clients are prohibited from using the services to send unsolicited bulk emails, spam, or emails to contacts obtained through purchased, rented, scraped, harvested, or otherwise unauthorized lists. Clients may not use the services for deceptive, misleading, fraudulent, unlawful, or abusive email activity.

Where required by law, marketing emails must include a working unsubscribe mechanism and be sent in compliance with applicable privacy, data protection, and anti-spam laws. We reserve the right to monitor compliance and to suspend, restrict, or terminate email functionality, or access to related services, where we reasonably believe a client’s use creates legal, operational, reputational, or deliverability risk for QRaway or its service providers.

8. TERMINATION

You may cancel your membership at any time. Upon cancellation, your Digital Space will remain active until the end of the paid billing cycle. After the cycle ends, the hosting will cease, and the Digital Space (and associated QR codes) will be deactivated.

We reserve the right to suspend, restrict, or terminate access to any part of the services, including email functionality, where we reasonably believe that a client has violated these Terms, applicable law, or the requirements of our service providers.

9. GOVERNING LAW

These Terms shall be governed by and defined following the laws of British Columbia, Canada.
